Trade Accounts Terms And Conditions

Yes we know they can be tedious but ours are in plain English and you should be aware of them.

1. Introduction

These Terms and Conditions ("Terms") apply to all trade account holders ("Trade Customer", "you", "your") purchasing goods from Instead Of Bread UK ("we", "us", "our"). By applying for and using a trade account, you agree to be bound by these Terms. These Terms are in addition to our general website Terms and Conditions and are governed by the laws of England and Wales.

2. Eligibility

Trade accounts are available to business customers only. By applying, you confirm that you are acting in a business capacity and not as a consumer. We reserve the right to request evidence of business status and to refuse or terminate trade accounts at our discretion.

3. Account Application and Approval

To open a trade account, you must complete our application process and provide accurate business information. Approval is at our sole discretion. We may refuse, suspend, or terminate accounts without notice if we suspect misuse or breach of these Terms.

4. Minimum Order Value

The minimum order value for trade accounts is £42 per order. Orders below this threshold will not be processed.

5. Products and Pricing

Trade customers have access to wholesale pricing on eligible products. Prices are as displayed at the time of order and are inclusive of VAT unless otherwise stated. We reserve the right to change prices at any time. All orders are subject to availability.

6. Order Process and Contract Formation

By placing an order, you are making an offer to purchase goods. A binding contract is formed only when we accept your order and confirm dispatch. We reserve the right to refuse any order.

7. Payment Terms

Payment is due in full at the time of order unless otherwise agreed in writing. We accept payment by credit/debit card and PayPal. Goods remain our property until paid for in full.

8. Delivery

We aim to dispatch orders within 2 business days. Delivery times are estimates and not guaranteed. Delivery is to the address provided at checkout; it is your responsibility to ensure accuracy. Risk passes to you upon delivery.

9. Non-Delivery and Returns

If goods are undelivered due to incorrect address or failure to accept delivery, we may refund the item cost only or resend at your expense. Returns are accepted for sealed, unopened goods by prior arrangement. Perishable or unsealed items are non-refundable. Faulty goods will be refunded, repaired, or replaced in accordance with the Consumer Rights Act 2015.

10. Damaged Goods

We take care to pack goods securely. For fragile items (e.g., Broghies), minor breakage may occur in transit and is not grounds for return or refund. For significant damage or breakage of non-fragile items, contact us within 48 hours of delivery.

11. Allergen and Food Safety Information

We provide allergen information on our website and product packaging in compliance with UK food safety laws. It is your responsibility to ensure this information is communicated to your customers.

12. Data Protection

We process your business and personal data in accordance with UK GDPR and our Privacy Policy. By holding a trade account, you consent to such processing.

13. Intellectual Property

All intellectual property rights in our products, branding, and website content remain with Instead Of Bread UK or our licensors. You may not use our branding or materials without written permission.

14. Limitation of Liability

Our liability to you is limited to the value of the goods supplied. We are not liable for indirect, consequential, or business losses, including loss of profit or reputation.

15. Termination

We may terminate or suspend your trade account at any time for breach of these Terms or misuse of the account. You may close your account by notifying us in writing.

16. Amendments

We reserve the right to amend these Terms at any time. Updated Terms will be posted on our website and apply to all subsequent orders.

17. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
